0. DEFINITIONS

For clarity, the following definitions apply:

3.1 Changes to Terms. We may amend, update, or replace these Terms at any time in our sole discretion.

3.2 Effective Date. Updated Terms are effective upon posting (or on any later effective date stated).

3.3 Continued Use. Your continued use of the Services after changes are posted constitutes acceptance.

3.4 Changes to Services. We may modify, suspend, or discontinue the Services (or any part) without notice, and we are not liable for such modifications to the maximum extent permitted by law.

4. PRODUCTS, PRICING, CONTENT ACCURACY & AVAILABILITY

5. ORDER PROCESS, ACCEPTANCE, CANCELLATIONS & PAYMENT

5.2 Acceptance. An Order is not accepted until we confirm acceptance and receive and process your payment.

5.3 Right to Refuse or Cancel. We may refuse or cancel any Order in our discretion for reasons including suspected fraud, unauthorized payment use, inventory issues, policy violations, or resale activity inconsistent with brand positioning.

5.4 Cancellations. Please review your Order carefully before submitting. Once accepted, we may be unable to accommodate cancellation requests.

6.5 Proof of Delivery. Carrier confirmation of delivery may constitute conclusive proof of fulfillment.

6.6 Address Errors. You are responsible for ensuring shipping details are accurate. We are not liable for losses due to incorrect address information entered at checkout.

6.7 International Orders. International customers are responsible for import duties, VAT, customs fees, and related charges.

9. LIMITATION OF LIABILITY

9.2 Content and Errors. We are not liable for any loss or damage arising from errors, omissions, or reliance upon any Content made available through the Services.

9.3 Liability Cap. To the maximum extent permitted by law, our total liability for any claim shall not exceed the amount paid by you for the Product giving rise to the claim.

You may not: (a) use the Services for unlawful or malicious purposes; (b) violate laws or regulations; (c) infringe intellectual property; (d) harass, abuse, or harm others; (e) transmit false or misleading information; (f) send spam; (g) impersonate others; (h) transmit malware; (i) scrape, crawl, or harvest data using automated means; or (j) interfere with security features.

15.3 Enforcement. We may suspend or terminate access if we determine you have violated these Terms.

16. PRIVACY & DATA PROTECTION

16.1 Our Privacy Policy. All personal information collected through the Services is subject to our Privacy Policy.

16.2 Shopify Processing. Because the Services are hosted by Shopify, Shopify may collect and process personal information to provide and improve the Services. Information may be shared with Shopify and service providers, potentially in other countries.

17. SMS & EMAIL COMMUNICATIONS

17.1 Consent. By providing your email address or phone number, you consent to receive transactional communications and, where applicable, marketing communications.

17.2 Not a Condition of Purchase. Marketing consent is not required to make a purchase.

18. CHARGEBACKS & FRAUD RECOVERY

18.1 Good-Faith Resolution. If you have an issue with an Order, we encourage you to contact us first so we can attempt to resolve it.

18.2 Breach. Initiating a chargeback in bad faith or without contacting us first (where feasible) may constitute a breach of these Terms.

18.3 Evidence and Remedies. We may submit proof of delivery and policy acceptance, seek recovery of chargeback fees and administrative costs where permitted, restrict future purchases, and pursue legal remedies for fraudulent disputes.

19. DISPUTE RESOLUTION & BINDING ARBITRATION; CLASS ACTION WAIVER

19.1 Arbitration. Except where prohibited by law, any dispute arising out of or relating to these Terms, the Services, or any purchase shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA).

19.2 Location. Arbitration shall take place in Arizona, unless the parties agree otherwise.

19.3 Waivers. You and B&R African Styles waive the right to a trial by jury and to participate in any class or representative action. Claims must be brought individually.

19.4 Survival. This dispute resolution provision survives termination.

20. INDEMNIFICATION

20.1 Your Obligation. You agree to indemnify, defend, and hold harmless B&R African Styles, Shopify, and our respective affiliates, owners, officers, directors, employees, agents, contractors, licensors, and service providers from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your violation of law; (c) your misuse of the Services; or (d) your infringement of third-party rights.

20.2 Cooperation. You agree to cooperate in the defense of any indemnified claim, including by providing relevant documents.

21. FORCE MAJEURE

We are not liable for delays or failures due to events beyond our reasonable control, including natural disasters, government actions, supply chain interruptions, public health emergencies, labor disputes, or transportation disruptions.

22. TERMINATION & SURVIVAL

22.1 Termination by Us. We may terminate this Agreement or your access to the Services at any time, with or without notice, as permitted by law.

22.2 Termination by You. You may stop using the Services at any time.

22.3 Survival. Provisions that by their nature should survive termination shall survive, including Intellectual Property, Feedback License, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and other provisions intended to survive.

23. SEVERABILITY

If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions remain in full force and effect to the maximum extent permitted by law.

24. WAIVER; ENTIRE AGREEMENT

24.1 No Waiver. Our failure to enforce any right or provision does not constitute a waiver.

24.2 Entire Agreement. These Terms and the Policies referenced herein constitute the entire agreement between you and B&R African Styles regarding the Services and supersede prior agreements and communications.

24.3 Interpretation. Any ambiguities in interpretation shall not be construed against the drafting party.

25. ASSIGNMENT

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms and our rights and obligations without notice, as permitted by law.

26. GOVERNING LAW; VENUE

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. To the extent any claim is not subject to arbitration or is brought to enforce an arbitration award, you and the Company consent to venue and personal jurisdiction in the state and federal courts located in Arizona.

27. RELATIONSHIP WITH SHOPIFY

B&R African Styles is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make through our store are made directly with B&R African Styles. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and B&R African Styles, including any injury, damage, or loss resulting from purchased Products or Services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with B&R African Styles.
